Software License Agreement

This is a legal Agreement for use of the "Software". Your acceptance of this Agreement is required to use the Software. The following terms contain material representations regarding the disclaimers of Panasonic Corporation. Be sure to read through, understand and confirm the following terms.

Article 1. Rights

You can obtain a license to use the Software (which refers to the software that can be downloaded on this website), but the patent rights, copyrights and all other rights belong to Panasonic or third parties will not be transferred to you. You can use the Software solely for the purpose of playing audio files using Panasonic’s audio device(s).

Article 2. Use by a Third Party

You may not transfer or allow any third party, to use or copy the Software, whether free of charge or not.

Article 3. Restrictions on Copying the Software

You may make a single copy of the Software solely for backup purposes only.

Article 4. Computer

You may install and use the Software on one computer owned or managed by you, and you cannot use the Software on any other computer. Furthermore, you cannot use the Software on any computers which are connected with the any audio devices other than Panasonic’s projectors audio players.

Article 5. Reverse Engineering, Decompiling or Disassembly

You may not reverse engineer, decompile, or disassemble the Software. Panasonic shall not be bound by warranty for any defects in the Software caused by your reverse engineering, decompiling or disassembly of the Software. Furthermore, Panasonic or its distributors or dealers will not be responsible for any damage to you caused by your reverse engineering, decompiling or disassembly of the Software.

Article 6. After-sales Service

If a problem should occur with the Software while you are using the Software and you notify Panasonic of the problem, Panasonic will make a reasonable effort to notify you of necessary information to solve the problem to Panasonic’s knowledge including the way to correct errors in the program or the alternative or improved method for using the Software. However, Panasonic will not provide any service for the use of the Software for any purpose other than the use with the Panasonic’s audio devices. Furthermore, the Software is subject to revision without prior notice.

Article 7. Disclaimer

LIABILITY OF PANASONIC, ANY OF ITS DISTRIBUTORS OR DEALERS WITH RESPECT TO THE SOFTWARE IS LIMITED TO ITS AFTER-SALES SERVICE PROVIDED IN ARTICLE 6 HEREIN. THE SOFTWARE IS PROVIDED "AS-IS”, AND PANASONIC AND ANY OF ITS AFFILIATED COMPANIES DISCLAIM ALL WARRANTIES AND CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO COMPLETENESS, ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF THIRD PARTY’S INTELLECTUAL PROPERTY, AND LOSS OR DAMAGE OF DATA, WITH REGARD TO THE SOFTWARE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PANASONIC, ANY OF ITS DISTRIBUTORS OR DEALERS SHALL NOT BE LIABLE FOR ANY DAMAGE SUFFERED BY YOU, EITHER DIRECTLY OR THROUGH CLAIMS FROM A THIRD PARTY, ARISING FROM OR IN CONNECTION WITH YOUR USE, DISABILITY TO USE, OR ANY ERROR OF THE SOFTWARE. FURTHERMORE, THERE IS NO IMPLIED WARRANTY OF NON-INFRINGEMENT. Panasonic, any of its distributors or dealers shall not be liable for any error occurred during your download of the Software .

Article 8. Termination

Without prejudice to any of Panasonic's other rights, Panasonic may terminate this Agreement if you fail to comply with any of the terms and conditions of this Agreement. In such event, Customer must cease the use of and destroy the Software.

Article 9. Export Control

You agree not to export or re-export the Software to any county in any form without the appropriate export licenses under the regulations of the country where you reside or of any other country as may be required by such export or re-export.

Article 10. Legal System and Change of Terms

This document shall be governed by and construed and enforced in accordance with the laws of Japan, without regard to its conflict of laws provisions. Panasonic may, in its discretion, change the terms of this Agreement at any time without prior notice to you.

Article 11. Conflict Resolution

Any dispute arising out of or in relation to the Software shall be subject to the exclusive jurisdiction of the Osaka District Court of Japan.
